Terms of Use

1. Definitions
For the purposes of these Terms of Use, the terms below have the following meanings:
- LabPlay: a video hosting, smart player, and retention analytics platform operated by LabPlay.
- User or Customer: an individual or legal entity that registers on the platform and uses the services.
- Viewer: a person who watches a video published by the User through a LabPlay player embedded on a third-party site or landing page.
- Platform: the set of systems, interfaces, and features made available at https://labplay.app.
- Workspace: the User's individual environment within the Platform, where their videos, settings, and analytics data are stored.
- Plan: the subscription tier contracted by the User (Starter, Pro, or Scale), with limits and features defined at the time of purchase.
- Content: any video, image, text, data, or material uploaded, published, or generated by the User on the Platform.
2. Acceptance of Terms
By creating an account, accessing, or using any feature of the Platform, the User declares that they have read, understood, and fully accepted these Terms of Use, as well as our Privacy Policy.
If the User does not agree with any provision of these Terms, they must refrain from using the Platform.
The User must be at least 18 years old or have reached the age of legal majority in their jurisdiction. Use of the Platform by legal entities presumes that the individual accepting these Terms has the authority to do so.
3. Description of Services
Under the contracted Plan, LabPlay offers the User the following features:
- Cloud video upload and hosting with transcoding for adaptive streaming (HLS);
- A configurable smart video player, with support for thumbnail overlay, CTA (call-to-action), audio unlock, progress resume, and custom controls;
- Anti-download protection via token-encrypted HLS key rotation;
- Domain-based playback restriction (allowlist of permitted domains);
- Embed code generation for use on websites and landing pages;
- Video analytics: impression counts, plays, and second-by-second retention mapping;
- A/B testing for player experiments;
- UTM parameter tracking for traffic attribution;
- Integration with Facebook/Meta Pixel and Conversions API (CAPI);
- Lead capture through the player;
- Integration with checkout platforms (Hotmart, Kiwify, LabConvert, ClickBank, CartPanda, Payt, and others) to correlate sales;
- VSL Scan feature with automated script analysis;
- Webinar feature;
- A Web Component player format for advanced embedding.
LabPlay reserves the right to modify, expand, suspend, or discontinue features, with prior notice to the User of at least 30 (thirty) days, except in cases of legal, judicial, or security requirements demanding immediate action.
4. Registration and Account
Access to the Platform requires registration with a valid email and password. The User is fully responsible for the confidentiality of their credentials and for all activity carried out under their account.
The User agrees to provide true, accurate, and up-to-date information at the time of registration and throughout the term of the contractual relationship. Providing false information may result in immediate termination of the account.
The User must immediately notify LabPlay of any suspected unauthorized use of their account by contacting [email protected].
5. Plans, Payment, and Renewal
5.1 Available plans
LabPlay offers subscription plans on a monthly basis, with different limits for monthly plays, storage, and features. Current plans and pricing are described on the Platform's pricing page.
5.2 Billing and renewal
Subscriptions are billed in advance and automatically renewed at the end of each billing period, unless canceled by the User before the renewal date.
For quarterly plans, the play limit is calculated by multiplying the plan's monthly limit by 3 (three), with that full quota made available at the start of the period.
Failure to pay by the due date may result in immediate suspension of access to the services. Access is restored once payment is brought current.
5.3 Play limits and grace period
Each plan has a monthly playback (plays) limit. Upon reaching 100% of the limit, LabPlay applies an additional 10% (ten percent) grace period before deactivating the Workspace's players and displaying an inactivity screen on embeds. The User will be notified as they approach the limit.
5.4 Upgrades and downgrades
The User may request a plan change at any time. Plan changes result in a proportional adjustment of limits and pricing, in accordance with the rules applied by the payment platform used.
6. Cancellation and Refunds
6.1 Cancellation
The User may cancel their subscription at any time through the Platform dashboard or through the subscription management portal of the payment platform used. Cancellation stops automatic renewal, and access remains active until the end of the period already paid for.
6.2 Refund Policy
LabPlay offers a full refund guarantee for 7 (seven) calendar days from the date of each charge. For customers billed in Brazil, this guarantee is provided in accordance with art. 49 of the Brazilian Consumer Protection Code (Law No. 8,078/1990); for customers billed internationally through our payment processor, the same 7-day guarantee applies contractually. 6.3 Data export after termination
After account termination, the User will have 7 (seven) calendar days to export their data and content. After this period, LabPlay may permanently delete the Workspace's Content and data.
7. User Obligations and Prohibited Conduct
The User agrees to use the Platform solely for lawful purposes and in compliance with applicable law. Without limiting other prohibited conduct, the User is expressly prohibited from:
- Uploading, publishing, or transmitting Content that is illegal, pornographic, incites violence or hatred, or infringes the rights of third parties;
- Infringing copyrights, trademarks, patents, or any other intellectual property rights of third parties;
- Using the Platform to distribute spam, malware, phishing, or any form of malicious code;
- Attempting to gain unauthorized access to the Platform, its servers, databases, or other users' accounts;
- Reverse engineering, decompiling, or attempting to extract the Platform's source code;
- Creating, developing, or marketing a competing product using information or technology from the Platform;
- Using scripts, bots, or any automated mechanism to interact with the Platform without express authorization;
- Reselling, sublicensing, or transferring access to the Platform to third parties without LabPlay's prior written authorization;
- Fraudulently using chargebacks or payment dispute mechanisms.
Violation of any of the above prohibitions entitles LabPlay to suspend or immediately terminate the User's account, without prejudice to any applicable legal remedies.
8. User Content and License
The User is the sole and exclusive owner of all rights to the Content they upload to the Platform, and is fully responsible for its legality, authenticity, and suitability.
By uploading Content to the Platform, the User grants LabPlay a non-exclusive, worldwide, royalty-free, sublicensable license, for the term of the contract, to host, store, reproduce, transcode, distribute, and display the Content solely for the operational purposes of providing the contracted services, including transcoding, thumbnail generation, and CDN delivery.
This license is automatically revoked when the Content is deleted by the User or when the account is terminated, subject to the technical retention period necessary for service operation.
9. Intellectual Property
All intellectual property rights related to the Platform, including software, algorithms, interfaces, design, trademarks, logos, documentation, and other materials, are the exclusive property of LabPlay and are protected under Brazilian and international intellectual property law.
These Terms do not transfer to the User any rights to the Platform beyond the non-exclusive, non-transferable license granted for use of the contracted services during the subscription term.
10. Third-Party Integrations
The Platform allows integration with third-party services, such as checkout platforms, tracking pixels (Facebook/Meta, TikTok), analytics tools, and automation platforms. These integrations are configured by the User.
LabPlay is not responsible for the operation, availability, privacy, or data practices of third-party platforms. The User is responsible for ensuring that use of the integrations complies with the terms of each integrated platform and with applicable data protection law, particularly regarding Viewer consent for the collection and transmission of data to third parties.
Discontinuation of an integration by a third-party service does not constitute a failure by LabPlay and does not entitle the User to a refund.
11. Availability and SLA
LabPlay will use its best efforts to keep the Platform continuously available. However, it does not guarantee uninterrupted availability, as interruptions may occur due to scheduled maintenance, third-party infrastructure failures, or events beyond its reasonable control.
Scheduled maintenance will be announced at least 24 (twenty-four) hours in advance whenever possible. LabPlay is not liable for damages resulting from unscheduled interruptions caused by third-party infrastructure providers.
12. Limitation of Liability
To the maximum extent permitted by applicable law, LabPlay will not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of customers, reputational harm, or business interruption, even if advised of the possibility of such damages.
In no event will LabPlay's total liability to the User exceed the total amount paid by the User in the 12 (twelve) months immediately preceding the event giving rise to the claim.
LabPlay is not responsible for: (i) Content published by the User; (ii) the sales results or performance of the User's campaigns; (iii) the conduct of Viewers; (iv) failures in third-party integrations; (v) acts of third parties resulting in unauthorized access to the User's account due to the User's own fault.
13. Indemnification
The User agrees to defend, indemnify, and hold harmless LabPlay, its officers, employees, partners, and service providers from any claims, actions, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising from: (i) breach of these Terms; (ii) misuse of the Platform; (iii) Content published by the User; (iv) infringement of third-party rights; or (v) violation of applicable law.
14. Account Suspension and Termination
LabPlay may suspend or terminate the User's account, at any time and without prior notice, in the following cases: (i) breach of these Terms; (ii) non-payment; (iii) request by a competent authority; (iv) suspected fraudulent activity; (v) use of the Platform that jeopardizes the security or integrity of the infrastructure.
In case of termination at the User's initiative, access remains active until the end of the paid period. In case of termination due to breach of these Terms, access may be revoked immediately, with no right to a refund for the remaining period.
15. Changes to These Terms
LabPlay may modify these Terms at any time. Material changes will be communicated to the User by email or via notice on the Platform at least 15 (fifteen) days before they take effect.
Continued use of the Platform after changes take effect constitutes tacit acceptance of the new terms. If the User does not agree with the changes, they may cancel their subscription before the effective date, without additional penalties.
16. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil. The parties elect the courts of the Comarca de São Paulo, State of São Paulo, Brazil, as the exclusive venue to resolve any disputes arising from these Terms, expressly waiving any other venue, however privileged.
17. General Provisions
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
LabPlay's tolerance of any breach by the User does not constitute a waiver of the right to demand full compliance with these Terms.
